Terms of Service

These Terms of Service ("Agreement") form a binding legal contract between you ("Customer", "you", or "your") and PuppetVendors. ("we", "us", or "our") governing your access and use of our SaaS application that enables Shopify stores added capabilities including but not limited to a multi-vendor store, seller hub or seller center, consignment management software, etc. (the "Service"). By accessing or using the Service, you agree to be bound by this Agreement. If you do not accept these terms, you must not access or use the Service.

1. Use of the Service

a) License Grant

Subject to compliance with this Agreement, PuppetVendors grants you a non-exclusive, non-transferable, revocable right to access and use the Service for your internal business purposes.

b) Restrictions

You may not: Resell, sublicense, or distribute the Service to third parties. Reverse engineer, decompile, or modify any part of the Service. Use the Service in violation of any law or to infringe any third party rights. Use the Service to build a competing product.

2. Customer Responsibilities

You are solely responsible for:
  • Reviewing all payout calculations and configurations made via the Service.
  • Ensuring compliance with any financial, tax, or legal obligations in your jurisdiction.
  • Maintaining control over and responsibility for your Shopify store and its users.

      • Data Subject Rights

      You are responsible for ensuring that your data collection and processing practices comply with applicable data protection laws. This includes fulfilling the rights of individuals under the General Data Protection Regulation (GDPR), including the rights to access, correction, deletion, and portability of personal data.

      3. Third-Party Services

      The Service relies on third-party infrastructure:
      • Digital Ocean for application hosting
      • Amazon Web Services (AWS) for file storage and CDN
      • MongoDB Atlas for database management
          • PuppetVendors is not liable for disruptions or breaches arising from these providers. Their terms and policies apply to the relevant components of the Service and you agree to comply with those terms.

          Sub-Processors

          PuppetVendors may use sub-processors to deliver the Service. The current sub-processors are:
          • Digital Ocean
          • Amazon Web Services (AWS)
          • MongoDB Atlas
          We reserve the right to add new sub-processors so as to provide you with the best possible service. All sub-processors are bound by confidentiality and data protection terms equivalent to this Agreement.

          4. Data & Privacy

          Data Collection and Use

          We do not sell, rent, or trade your data. We may use aggregated or anonymized data to improve the Service, as outlined in the Data Processing Agreement (DPA) attached. We only process personal data as a data processor under the instructions of the Customer (data controller).

          GDPR Compliance

          We are committed to complying with GDPR and ensuring the protection of personal data. We process personal data only as necessary to provide the Service and in accordance with this Agreement. We also assist in fulfilling any GDPR rights that individuals may have, such as the right to access, rectification, erasure, and restriction of processing.

          5. Intellectual Property

          The Service, including all software, content, and branding, is owned by PuppetVendors or its licensors. You retain ownership of your own content and data, subject to the rights granted to Puppetvendors for the provision of the Service.

          Owernership and Licensing

          You grant PuppetVendors a non-exclusive, worldwide, royalty-free, and irrevocable license to use, process, and store your content and data for the purpose of providing and improving the Service. This license includes the right to use your data in aggregated or anonymized form.


          6. Support and Availability

          We provide support and availability as described in the attached Service Level Agreement (SLA).

          7. Disclaimers

          The Service is provided "as is" and "as available". We disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We make no guarantees regarding the uninterrupted or error-free operation of the Service.

          8. Limitation of Liability

          PuppetVendors’s liability is limited to the fees paid by you in the six months preceding the claim. We are not liable for indirect, incidental, or consequential damages arising from the use or inability to use the Service.

          9. Termination

          We may suspend or terminate your access to the Service for any violation of this Agreement. Upon termination, you must stop using the Service, and your data will be deleted as outlined in the DPA.

          10. Changes to the Agreement

          We may update this Agreement from time to time. Continued use of the Service after changes are posted constitutes your acceptance.

          11. Governing Law

          This Agreement is governed by the laws of Singapore. Any disputes shall be subject to the exclusive jurisdiction of the courts of Singapore.
