These Terms of Service ("Agreement") form a binding legal contract between you ("Customer", "you", or "your") and PuppetVendors ("we", "us", or "our") governing your access and use of our SaaS application available through the Shopify App Store that enables Shopify stores added capabilities including but not limited to a multi-vendor store, seller hub or seller center, consignment management software, and related tools and services (the "Service"). The Service is provided as a Shopify application and is subject to both this Agreement and the Shopify Terms of Service. By installing or using the Service, you agree to be bound by this Agreement. If you do not accept these terms, you must not install or use the Service.

1. Use of the Service

a) License Grant

Subject to compliance with this Agreement, PuppetVendors grants you a non-exclusive, non-transferable, revocable right to access and use the Service for your internal business purposes during the term of this Agreement. This license is contingent upon your continued compliance with the Shopify Terms of Service and the Shopify Partner Program Agreement.

b) Restrictions

You may not:

• You may not:

  • Resell, sublicense, or distribute the Service to third parties.

  • Reverse engineer, decompile, or modify any part of the Service.

  • Use the Service in violation of any law or to infringe any third-party rights.

  • Use PuppetVendors's proprietary technology, confidential information, or trade secrets to build a competing product or service. For clarity, this restriction applies solely to the misuse of PuppetVendors's confidential information and does not prohibit Customer from independently developing or using competing products or services.

  • Attempt to gain unauthorized access to the Service, its systems, or networks.

  • Interfere with or disrupt the integrity or performance of the Service.

  • Use the Service in any manner that violates the Shopify Terms of Service or the Shopify Acceptable Use Policy.

c) Acceptable Use

You shall not use the Service to facilitate the sale or distribution of counterfeit, illegal, or regulated goods; engage in fraud or deceptive practices; transmit malicious code; or operate in any manner that could harm PuppetVendors's reputation, infrastructure, security, or other customers. PuppetVendors reserves the right to suspend or terminate access to the Service immediately if it determines, in its sole discretion, that Customer's use violates this section.

2. Customer Responsibilities

You are solely responsible for:

• Reviewing and verifying all payout calculations, commission configurations, and financial outputs generated by the Service before executing any payments or transactions.

• Ensuring compliance with any financial, tax, legal, or regulatory obligations in your jurisdiction, including but not limited to sales tax, VAT, GST, income tax withholding, and any vendor reporting requirements.

• Maintaining control over and responsibility for your Shopify store, its configuration, its users, and all vendor accounts granted access through your use of the Service.

• All content, products, and services listed, sold, or distributed through your marketplace.

• The accuracy and legality of data you input into the Service.

• Ensuring that your use of the Service complies with the Shopify Terms of Service, including the Shopify Acceptable Use Policy.

a) Vendor Responsibility

Customer is solely responsible for the actions, content, products, and conduct of any vendors, sellers, consignors, or third-party users granted access to the Service through Customer's account. PuppetVendors has no direct contractual or legal relationship with Customer's vendors and bears no responsibility or liability for vendor conduct, vendor content, vendor products, vendor fulfillment, or any disputes between Customer and its vendors, buyers, or other third parties.

b) Data Subject Rights

You are responsible for ensuring that your data collection and processing practices comply with all applicable data protection laws in your jurisdiction. This includes fulfilling the rights of individuals under the General Data Protection Regulation (GDPR), California Consumer Privacy Act (CCPA), and other applicable privacy regulations, including the rights to access, correction, deletion, restriction of processing, and portability of personal data.

c) Financial and Tax Disclaimer

PuppetVendors does not provide tax, legal, financial, or accounting advice. Any payout calculations, commission computations, tax reporting features (including but not limited to 1099-NEC generation), or other financial tools within the Service are provided as convenience tools only and do not constitute professional financial or tax advice. PuppetVendors does not guarantee the accuracy, completeness, or timeliness of any financial calculations or reports generated by the Service. Customer is solely responsible for independently verifying all financial outputs and for determining and fulfilling all tax obligations, filings, and compliance requirements in their jurisdiction. PuppetVendors shall have no liability for any financial loss, overpayment, underpayment, tax penalty, or regulatory action arising from Customer's reliance on calculations, reports, or tools provided by the Service.

3. Shopify Platform

a) Relationship with Shopify

The Service operates as a Shopify application and relies on the Shopify platform, APIs, and infrastructure. PuppetVendors is not affiliated with, endorsed by, or a representative of Shopify Inc. Customer acknowledges that:

• The availability and functionality of the Service depends on the Shopify platform and Shopify APIs, which are outside PuppetVendors's control.

• Changes to the Shopify platform, APIs, terms of service, or policies may affect the Service's functionality, features, or availability.

• PuppetVendors is not liable for any disruption, limitation, or loss of functionality arising from changes to or outages of the Shopify platform.

b) Billing

Subscription fees for the Service are processed through the Shopify Billing API in accordance with Shopify's billing terms. All billing disputes related to Shopify's billing process should be directed to Shopify. PuppetVendors is not responsible for billing errors, payment processing failures, or other issues arising from Shopify's billing infrastructure.

c) Shopify Data Compliance

PuppetVendors complies with Shopify's mandatory data privacy requirements, including the implementation of compliance webhooks for customer data requests, customer data erasure, and shop data erasure. Customer acknowledges that Shopify retains ownership rights over Merchant Data as defined in the Shopify Terms of Service, and that PuppetVendors's access to and use of such data is subject to Shopify's terms and policies.

d) Shopify Limitations

PuppetVendors does not control and is not responsible for the Shopify platform's performance, uptime, security, or functionality. Any warranties, representations, or guarantees regarding the Shopify platform are the sole responsibility of Shopify Inc. PuppetVendors shall not be liable for any losses or damages arising from the Shopify platform, including but not limited to API changes, platform outages, policy changes, or app store delisting decisions made by Shopify.

4. Third-Party Services

The Service relies on third-party infrastructure providers. Current providers include, but are not limited to:

• DigitalOcean for application hosting

• Amazon Web Services (AWS) for file storage and CDN

• MongoDB Atlas for database management

PuppetVendors may change, add, or replace infrastructure providers at any time to improve, maintain, or enhance the Service. PuppetVendors is not liable for any disruptions, data loss, security breaches, performance issues, or service interruptions arising from the acts or omissions of these third-party providers. Their respective terms of service and privacy policies apply to the relevant components of the Service, and you agree to comply with those terms. PuppetVendors makes no warranties or representations regarding the availability, security, or performance of any third-party service.

Sub-Processors

PuppetVendors may use sub-processors to deliver the Service. The current sub-processors are:

• DigitalOcean

• Amazon Web Services (AWS)

• MongoDB Atlas

PuppetVendors reserves the right to add, replace, or update third-party infrastructure providers and sub-processors at any time in order to improve, maintain, or enhance the Service for the benefit of its customers. We will provide at least sixty (60) days' notice before engaging new sub-processors by updating the list on our website or notifying you via email. If Customer has a reasonable objection to a new sub-processor on data protection grounds, Customer may notify PuppetVendors in writing within the 60-day notice period, and the parties shall work in good faith to resolve the objection. If no resolution is reached, Customer may terminate this Agreement by providing written notice. All sub-processors are bound by confidentiality and data protection obligations no less protective than those in this Agreement.

5. Data and Privacy

Data Collection and Use

We do not sell, rent, or trade your data to third parties. We may use aggregated or anonymized data to improve the Service, conduct analytics, and develop new features, as outlined in the Data Processing Agreement (DPA). We only process personal data as a data processor acting under the documented instructions of the Customer (data controller). PuppetVendors's use of Merchant Data obtained through Shopify APIs is limited solely to providing the Service to the Customer, in accordance with Shopify's Partner Program Agreement and API Terms.

GDPR Compliance

We are committed to complying with GDPR and ensuring the protection of personal data. We process personal data only as necessary to provide the Service and in accordance with this Agreement and the DPA. We assist Customer in fulfilling GDPR obligations, including responding to data subject requests for access, rectification, erasure, restriction of processing, and data portability, to the extent technically feasible within the Service.

Data Security

PuppetVendors implements commercially reasonable technical and organizational measures to protect Customer data. However, no system is completely secure, and PuppetVendors does not warrant that the Service will be free from unauthorized access, data breaches, or security vulnerabilities. Customer acknowledges and accepts the inherent risks of transmitting data over the internet.

6. Intellectual Property

Ownership

The Service, including all software, code, algorithms, interfaces, content, documentation, and branding, is and remains the exclusive property of PuppetVendors or its licensors. Nothing in this Agreement transfers ownership of any PuppetVendors intellectual property to Customer. You retain ownership of your own content and data. Customer acknowledges that Shopify retains its ownership rights as set forth in the Shopify Terms of Service.

License to Customer Data

You grant PuppetVendors a non-exclusive, worldwide, royalty-free license to use, process, store, and transmit your content and data solely for the purpose of providing, maintaining, and supporting the Service during the term of this Agreement. This license terminates upon termination of this Agreement, except that PuppetVendors may retain and use data in aggregated or anonymized form (from which no individual or Customer can be identified) indefinitely for the purposes of improving the Service, conducting analytics, and developing new features.

Feedback

If Customer provides suggestions, feature requests, or feedback regarding the Service, PuppetVendors may use such feedback without restriction or obligation to Customer.

6. Support and Availability

We provide support and availability as described in the attached Service Level Agreement (SLA). In the absence of a separately executed SLA, PuppetVendors will use commercially reasonable efforts to maintain the availability of the Service but makes no guarantees of specific uptime percentages or response times. Service availability is subject to the availability of the Shopify platform and third-party infrastructure providers referenced in this Agreement.

7. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. PUPPETVENDORS DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AND QUIET ENJOYMENT. PUPPETVENDORS DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. PUPPETVENDORS DOES NOT WARRANT THAT THE SERVICE WILL MEET CUSTOMER'S REQUIREMENTS OR THAT ANY RESULTS OBTAINED FROM THE SERVICE WILL BE ACCURATE OR RELIABLE.

CUSTOMER ACKNOWLEDGES THAT PUPPETVENDORS DOES NOT CONTROL THE CONTENT, PRODUCTS, OR SERVICES OFFERED THROUGH CUSTOMER'S MARKETPLACE AND EXPRESSLY DISCLAIMS ALL LIABILITY ARISING FROM OR RELATED TO SUCH CONTENT, PRODUCTS, OR SERVICES.

PUPPETVENDORS DOES NOT WARRANT THE CONTINUED AVAILABILITY, COMPATIBILITY, OR FUNCTIONALITY OF THE SHOPIFY PLATFORM, SHOPIFY APIs, OR ANY THIRD-PARTY SERVICES UPON WHICH THE SERVICE DEPENDS.

8. Limitation of Liability

a) Liability Cap

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PUPPETVENDORS'S TOTAL AGGREGATE LIABILITY UNDER THIS AGREEMENT, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, SHALL NOT EXCEED THE TOTAL SUBSCRIPTION FEES ACTUALLY PAID BY CUSTOMER TO PUPPETVENDORS (VIA THE SHOPIFY BILLING API OR OTHERWISE) DURING THE SIX (6) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM. FOR CLARITY, THIS CAP IS CALCULATED BASED ON RECURRING SUBSCRIPTION FEES ONLY AND EXCLUDES ANY ONE-TIME FEES, SETUP CHARGES, CUSTOM DEVELOPMENT FEES, OR FEES PAID TO THIRD PARTIES INCLUDING SHOPIFY.

b) Exclusion of Damages

IN NO EVENT SHALL PUPPETVENDORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITIES, OR USE, ARISING FROM OR RELATED TO THE USE OR INABILITY TO USE THE SERVICE, EVEN IF PUPPETVENDORS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

c) Specific Exclusions

WITHOUT LIMITING THE FOREGOING, PUPPETVENDORS SHALL HAVE NO LIABILITY FOR:

• Any financial loss, tax penalty, or regulatory action resulting from reliance on calculations, payouts, commissions, or reports generated by the Service.

• Any actions, omissions, content, or conduct of Customer's vendors, sellers, buyers, or other third-party users.

• Any disruptions, data loss, or breaches caused by third-party infrastructure providers or the Shopify platform.

• Any losses resulting from Customer's failure to maintain accurate configurations or to verify financial outputs.

• Any claims arising from products or services sold through Customer's marketplace.

• Any loss of functionality, features, or data resulting from changes to the Shopify platform, Shopify APIs, or Shopify's terms or policies.

• Any damages arising from the suspension, delisting, or removal of the Service from the Shopify App Store by Shopify.

9. Indemnification

Customer shall indemnify, defend, and hold harmless PuppetVendors, its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, demands, lawsuits, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees and court costs) arising from or related to:

• Customer's use of the Service or any activity under Customer's account.

• Customer's violation of this Agreement, the Shopify Terms of Service, or any applicable law or regulation.

• Any content, products, or services offered, sold, or distributed through Customer's marketplace.

• Any dispute between Customer and its vendors, sellers, buyers, consignors, or other third parties.

• Customer's violation of any third-party rights, including intellectual property rights.

• Any claim that Customer's data or content infringes or misappropriates the rights of any third party.

• The acts or omissions of Customer's vendors or other users granted access through Customer's account.

This indemnification obligation shall survive termination of this Agreement.

10. Termination

a) Cancellation by Customer

Customer may cancel their use of the Service at any time by uninstalling the PuppetVendors application from their Shopify store. Cancellation is effective upon uninstall.

b) Suspension or Termination by PuppetVendors

PuppetVendors may suspend or terminate Customer's access to the Service immediately and without prior notice for violation of the Acceptable Use provisions (Section 1(c)), non-payment, or any conduct that PuppetVendors reasonably believes may cause harm to its infrastructure, security, reputation, or other customers. PuppetVendors may also request removal of the application from Customer's Shopify store through Shopify's platform processes. The Service may also become unavailable if Shopify suspends, delists, or removes the application from the Shopify App Store.

c) Data After Cancellation or Termination

Following cancellation or termination, Customer data will be deleted from PuppetVendors's systems within thirty (30) days, except for data PuppetVendors is required to retain by law or data retained in anonymized or aggregated form. PuppetVendors will also process any shop data erasure requests received from Shopify in accordance with Shopify's compliance requirements. Customer is responsible for exporting any data they wish to retain prior to uninstalling the application.

d) Survival

Sections 2(c) (Financial and Tax Disclaimer), 6 (Intellectual Property), 8 (Disclaimers), 9 (Limitation of Liability), 10 (Indemnification), 12 (Governing Law and Dispute Resolution), and any accrued payment obligations shall survive termination of this Agreement.

11. Governing Law and Dispute Resolution

a) Governing Law

This Agreement is governed by and construed in accordance with the laws of Singapore, without regard to its conflict of laws principles.

b) Dispute Resolution

Any dispute, controversy, or claim arising out of or relating to this Agreement shall first be submitted to good-faith negotiation between the parties for a period of thirty (30) days. If the dispute is not resolved through negotiation, it shall be referred to and finally resolved by arbitration administered by the Singapore International Arbitration Centre (SIAC) in accordance with the SIAC Rules in force at the time of filing. The seat of arbitration shall be Singapore. The arbitration shall be conducted in English. The arbitral award shall be final and binding on the parties. Each party shall bear its own costs and attorneys' fees in connection with the arbitration, unless the arbitrator determines otherwise.

c) Injunctive Relief

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights or confidential information.

12. Force Majeure

PuppetVendors shall not be liable for any failure or delay in the performance of its obligations under this Agreement to the extent that such failure or delay results from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, epidemics, war, terrorism, riots, government actions or orders, internet or telecommunications failures, power outages, third-party service provider outages (including Shopify platform outages), cyberattacks, denial-of-service attacks, fire, flood, earthquake, or labor disputes. PuppetVendors shall use commercially reasonable efforts to mitigate the impact of any force majeure event and to resume performance as soon as practicable.

13. Changes to This Agreement

We may update this Agreement from time to time by posting the revised terms on our website. We will update the "Last updated" date at the top of this Agreement. For material changes, we will make reasonable efforts to notify you via email or through the Service. Continued use of the Service after the effective date of any changes constitutes your acceptance of the updated Agreement. If you do not agree with the changes, you must stop using the Service and may terminate this Agreement by uninstalling the application.

14. General Provisions

a) Entire Agreement

This Agreement, together with the DPA, SLA, Privacy Policy, and any applicable Order Forms, constitutes the entire agreement between the parties and supersedes all prior agreements, representations, and understandings relating to the subject matter hereof. This Agreement is subject to and supplemented by the Shopify Terms of Service, Shopify Partner Program Agreement, and Shopify API Terms, which are incorporated by reference to the extent they apply to Customer's use of the Service.

b) Severability

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

c) Waiver

The failure of either party to enforce any right or provision of this Agreement shall not constitute a waiver of such right or provision.

d) Assignment

Customer may not assign or transfer this Agreement or any rights hereunder without the prior written consent of PuppetVendors. PuppetVendors may assign this Agreement without restriction.

e) Notices

All notices under this Agreement shall be in writing and delivered via email to the addresses associated with each party's account or as otherwise specified in writing.

f) Independent Contractors

The parties are independent contractors. Nothing in this Agreement creates a partnership, joint venture, agency, or employment relationship between the parties.
